These Terms and Conditions ("Terms") govern your access to and use of the website located at https://beeintegrityconsultants.com/ (the "Website") and any services provided by BEE Integrity Consultants ("BEE Integrity," "we," "us," or "our"). By accessing or using the Website, submitting an inquiry, purchasing services, or otherwise engaging with us, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Website or our services.

1. Company Information

BEE Integrity Consultants is a boutique business consulting and financial services company serving small business owners. BEE Integrity Consultants was established after its parent company, BEE Integrity, LLC, was founded in 2012. The contracting legal entity for any particular service will be identified in the applicable proposal, engagement letter, invoice, service agreement, or other written agreement.

2. Eligibility

You must be at least eighteen (18) years old; have the legal capacity to enter into a binding agreement; and not be prohibited from using the Website or receiving services under applicable law. If you use the Website or engage our services on behalf of a business or other organization, you represent and warrant that you have authority to bind that organization.

3. Website Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful personal or business purposes. You agree not to:

  • Use the Website for any unlawful, fraudulent, abusive, or unauthorized purpose
  • Interfere with or disrupt the Website or its security features
  • Attempt to gain unauthorized access to any account, system, network, or data
  • Introduce viruses, malware, malicious code, or other harmful materials
  • Copy, reproduce, modify, distribute, sell, license, or exploit Website content without prior written consent

We may suspend or terminate access to the Website at any time, with or without notice.

4. Services

BEE Integrity Consultants provides business support and advisory services, including:

4.1 Business Services

Entity formation support, business planning, office operations, business consultations, operational and strategic planning, and related business support services.

4.2 Tax Services

Tax preparation, tax planning, tax resolution support, assistance with tax notices, and related tax support services.

4.3 Financial Management Services

Bookkeeping and record keeping, payroll support, financial forecasting, budgeting, risk mitigation, and related financial management services.

4.4 Brand Development Services

Logo development, website design, branding, brand strategy, and related creative services.

4.5 Notary Services

Subject to applicable notarial laws, regulations, identification requirements, appointment availability, and other legal requirements.

4.6 Coaching Program

May be offered in the future, subject to additional terms, pricing, enrollment requirements, disclaimers, and a separate agreement.

The specific services, deliverables, deadlines, fees, and responsibilities applicable to a client will be described in the applicable Service Agreement. If these Terms conflict with a Service Agreement, the Service Agreement will control.

5. No Guarantee of Results

We do not guarantee any particular result, including:

  • Approval of an entity formation, license, permit, application, or filing
  • A specific tax outcome, refund, deduction, credit, audit result, or resolution
  • A particular level of revenue, profit, funding, business growth, or financial performance
  • Acceptance of a filing or document by a government agency
  • Approval of a trademark, business name, or other intellectual property registration
  • The success of a business, brand, marketing campaign, or website
  • The accuracy, timeliness, or completeness of information provided by third parties or government agencies

6. Informational Purposes; No Legal, Tax, or Financial Advice

Content on the Website is provided for general informational and educational purposes only. Website content and communications do not constitute legal advice or the formation of an attorney-client relationship; tax advice unless expressly established under a separate written engagement; accounting advice beyond the scope of an applicable Service Agreement; investment advice; financial planning or securities advice; insurance advice; business valuation advice; or a guarantee that any particular strategy is appropriate for your circumstances. You should consult a qualified professional before making decisions based on Website content.

7. Client Responsibilities

  • Provide complete, accurate, and timely information
  • Review deliverables and communications promptly
  • Notify us promptly of material changes
  • Maintain appropriate records
  • Make timely decisions
  • Review all filings, documents, reports, and deliverables before submission or use
  • Obtain specialized advice not included in the applicable Service Agreement
  • Protect passwords and confidential account information
  • Comply with applicable laws
  • Cooperate reasonably with our requests and procedures

8. Fees and Payment

Fees, payment schedules, deposits, retainers, recurring charges, and payment methods will be stated in the applicable Service Agreement, proposal, invoice, or other written agreement. Unless otherwise agreed in writing: fees are due by the date stated on the invoice; you authorize us to charge the payment method you provide; you are responsible for applicable taxes and governmental charges; amounts not paid when due may result in suspension of services; we may charge reasonable collection costs to the extent permitted by law; and we may require payment in advance for certain services.

9. Cancellations, Rescheduling, and Refunds

Terms may be stated in the applicable Service Agreement or appointment confirmation. Unless otherwise agreed in writing: deposits and fees for work already performed are nonrefundable; third-party fees and costs incurred on your behalf are nonrefundable; appointments may be subject to cancellation or rescheduling requirements; we may charge a cancellation or missed-appointment fee disclosed at the time of booking; and refund requests will be evaluated based on the applicable Service Agreement and applicable law.

10. Electronic Communications

By contacting us, submitting information through the Website, or engaging our services, you consent to receive communications electronically, including by email, telephone, text message, client portal, or other electronic means.

11. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Website or providing personal information to us, you acknowledge that you have reviewed the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

12. Intellectual Property

The Website and its contents are owned by or licensed to BEE Integrity Consultants and protected by applicable intellectual property laws. You may not reproduce, modify, publish, distribute, display, perform, sell, license, or create derivative works from our content without express written permission; remove copyright, trademark, or other proprietary notices; use our name, logo, trademarks, or service marks in a way that suggests endorsement or affiliation; or use our content to train, develop, or operate an artificial intelligence or machine learning system without prior written consent.

13. Client Materials and Deliverables

You retain ownership of Client Materials. You grant us a limited license to use Client Materials as reasonably necessary to provide services. Upon full payment, you will receive the rights to final deliverables expressly identified for transfer in the applicable Service Agreement. Preliminary concepts, drafts, working files, internal documents, tools, processes, templates, know-how, and unused concepts remain our property.

14. User Submissions and Feedback

You grant BEE Integrity Consultants a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to use, reproduce, modify, publish, display, distribute, and otherwise exploit those materials for business, marketing, educational, and operational purposes, subject to applicable law and our Privacy Policy.

15. Confidentiality

We will use reasonable measures to protect confidential information provided in connection with an applicable Service Agreement, subject to standard exceptions (publicly available, lawfully known before disclosure, received lawfully from a third party, independently developed, or required to be disclosed by law).

16. Third-Party Services and Links

Third parties are independent of BEE Integrity Consultants. We do not control, endorse, or guarantee third-party content, availability, security, accuracy, products, or services.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. BEE INTEGRITY CONSULTANTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEE INTEGRITY CONSULTANTS AND ITS RELATED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to defend, indemnify, and hold harmless BEE Integrity Consultants and its related parties from and against claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, misuse of the Website or services, violation of applicable law, your Client Materials, your negligent, fraudulent, or intentional acts, or your relationship or dispute with a third party.

20. Suspension and Termination

We may suspend or terminate access or services if you breach these Terms, fail to pay amounts when due, provide inaccurate or misleading information, or other specified circumstances. Termination does not affect accrued rights, obligations, fees, or liabilities.

21. Governing Law and Dispute Resolution

These Terms will be governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Before filing a legal claim, the parties agree to attempt in good faith to resolve the dispute by sending written notice, with thirty (30) days to attempt resolution. Any court proceeding must be brought in the state or federal courts located in Durham County, North Carolina, and each party consents to the personal jurisdiction and venue of those courts.

22. Statute of Limitations

Any claim must be filed within one (1) year after the claim arose, unless a longer period is required by applicable law.

23. Modifications to These Terms

We may modify these Terms from time to time; updated Terms will be posted with a revised "Last Updated" date. Continued use after the effective date constitutes acceptance.

24. Changes to Services

We may modify, suspend, or discontinue any feature, content, service, program, or offering at any time.

25. Force Majeure

No liability for delay or failure caused by circumstances beyond reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, power or internet failure, cyberattack, labor dispute, governmental action, war, civil unrest, supply interruption, technology failure, or the acts or omissions of third parties.

26. Severability

If any provision is invalid, unlawful, or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions remain in full force and effect.

27. No Waiver

Failure to enforce any provision does not constitute a waiver.

28. Assignment

You may not assign, transfer, or delegate your rights or obligations without prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, reorganization, sale of assets, or other business transfer.

29. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and BEE Integrity Consultants.

30. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, franchise, or agency relationship.
